“2. Application for Multiple Amendments to an All Alcoholic Common Victualler License – Black Dog Tavern Company, Inc. d/b/a The Black Dog Heights Café, located at 465 Grand Avenue, Falmouth. Amendments include Change of Manager, Change of Corporate Structure, Change of Officers, Change of Corporate Name, Change of Ownership Interest, and Issuance/Transfer of Stock/New Stockholder. “The original licensee, Black Dog Tavern Company, Inc., was previously owned by six Douglas Family Trusts. It has changed its corporate structure to an LLC and changed its name to Black Dog Tavern Company, LLC (“Tavern Company”).
“Black Dog Enterprises, LLC was formed to own Tavern Company as the parent company.
“A group of 23 investors formed Black Dog Partners, LLC> (“Black Dog Partners”) and purchased 60% of Enterprises. After the purchase by Black Dog Partners, the six Douglas Family Trusts now own 40% of Tavern Company through Douglas Holdings Limited, LLC. Daniel J. Pucillo owns 48.33% of Black Dog Partners, LLC. Mr. Pucillo was the Chief Operating Officer of the original licenses. The remaining 51.6% of Black Dog Partners is owned by the 23 individual/entity investors.
“None of the 23 individuals and entities who have an ownership interest in Black Dog Partners own more than 10% of Black Dog Partners, and none aside from Daniel J. PUcillo has any control of the operation of the licensee.”
